Article 1 Terms and conditions of sale

Sales of goods by TIP TOP GIFTS are governed exclusively by these general terms and conditions of sale.
Any clauses included in the orders placed by our customers which are contrary to these general terms and conditions are considered null and void.
Any derogation from these general terms and conditions requires the written consent of TIP TOP GIFTS.

Article 2 Orders and quotes

Any order placed by a customer entails the acceptance in full of these general terms and conditions by this customer.
Orders placed by the customer are binding on the latter and may not be cancelled by him.
Offers and quotes made by TIP TOP GIFTS are not binding on the latter.
Only orders placed by the customer and accepted by TIP TOP GIFTS are binding on TIP TOP GIFTS

Article 3 Terms and conditions of delivery

The delivery date is provided for information purposes only.
The customer may not invoke a delay in delivery to cancel or suspend the order or claim damages.
Orders ready for delivery are kept at the disposal of the customer in our offices.
Nevertheless, customers wishing to have their goods delivered must inform TIP TOP GIFTS of this when placing the order; the costs and risks resulting from the delivery are borne exclusively by the customer.
Similarly, any damage suffered by goods not collected on the scheduled delivery date is borne by the customer.

Article 4 Complaints

All complaints must be sent to TIP TOP GIFTS by recorded delivery within a period of eight days of delivery.
Once this period is over, the goods are deemed to have been accepted by the customer.
A complaint may not, under any circumstances, be invoked as a reason for delaying payment of an invoice or offsetting an invoice due by the customer against an invoice due by TIP TOP GIFTS to the customer.

Article 5 Liability

Should a product sold by TIP TOP GIFTS be defective, TIP TOP GIFTS undertakes to replace it with a similar product of the same value.
This undertaking will be applicable only if the customer has informed TIP TOP GIFTS of the defect by recorded delivery within eight days of delivery.
Under no circumstances will the liability of TIP TOP GIFTS exceed the replacement of the defective product.
No damages of any sort may be claimed from TIP TOP GIFTS on any grounds whatsoever.
TIP TOP GIFTS may not be held liable for indirect loss or damage.
Differences in sizes, shades, colours and execution are expressly tolerated with regard to the nature, the composition of the products and their production in large quantities.
In any case, defective products will only be replaced if the defect occurs in more than 5% of the number of products purchased.
Any goods transformed by the customer or by a third party will never be replaced.
TIP TOP GIFTS may only held liable and only undertakes to replace textile that has deteriorated during any printing or embroidery work if the textile has been purchased from and supplied by TIP TOP GIFTS.
Consequently, the customer bears sole liability for any printing or embroidery work carried out on textiles supplied by him.

Article 6 Terms and conditions of payment

Payment is made immediately when the goods are collected or in return for delivery, without any discount unless otherwise agreed by TIP TOP GIFTS.
The goods remain the property of TIP TOP GIFTS until payment is made in full.
A deferred payment agreement is in all cases subject to the signing of a draft by the customer.
In the event of non-payment of the invoice on its due date, the amount will bear interest of 12% per annum, ipso jure and without prior formal notice, and will be increased by fixed compensation of 15% with a minimum of € 50.
Any cheque refused when presented for cashing gives rise to fixed compensation of € 50 in favour of TIP TOP GIFTS for administrative costs, without prejudice to the various legal costs which may result from proceedings instituted by TIP TOP GIFTS with a view to obtaining payment.
This also applies to any non-payment of a draft. In this case, the fixed compensation is set at € 100.
Non-payment of an invoice upon the due date annuls the term or terms granted for the payment of other goods and renders the latter payable immediately.
Should a dispute arise, the courts of Brussels have sole jurisdiction.
